Company Name
The name of a company or LLP can be changed by the promoters at any time after incorporation. Some of the major reasons for changing a company name include a change in business model, rebranding, change of promoters, or business expansion. To change the name of a company, shareholders' approval is required along with approval from the Ministry of Corporate Affairs (MCA). The change of name has no impact on the legal identity of the company or LLP. All existing assets, liabilities, contracts, and obligations continue to remain valid. Only the company's name is changed.
Changing a company name requires passing a Board Resolution, obtaining name approval from the MCA, passing a Special Resolution, and filing the necessary forms with the Ministry of Corporate Affairs. Once the MCA approves the application, a fresh Certificate of Incorporation is issued with the new company name. After receiving the certificate, the Memorandum of Association (MOA) and Articles of Association (AOA) must also be updated.
